Online Seller Policy

AUTHORIZED ONLINE SELLER POLICY
Effective 1/1/2026
Kitchen Supply, Inc. (“Kitchen Supply”) is committed to working with customers to facilitate the sale of its products through ecommerce channels. Kitchen Supply maintains this Authorized Online Seller Policy (“Policy”) to protect its brands, intellectual property, authorized channel partners, and end customers. This Policy ensures accurate product information, consistent customer experience, fair competition, and proper brand representation across ecommerce channels.
This Policy applies to all brands owned, licensed, or distributed by Kitchen Supply, Inc., including but not limited to Escali®, Joyce Chen®, Old Stone Pizza Kitchen®, The London Sip®, Maverick®, and any future brands introduced. Kitchen Supply reserves the right to interpret and enforce this Policy in its sole discretion.
To be considered an Authorized Online Seller (“Reseller”), the following requirements must be met at all times:
Approved Websites
- Unless otherwise explicitly authorized in writing by Kitchen Supply, Inc., including authorization by Lexa, Resellers may only take orders through websites owned and operated by their own company.
- Selling on third-party marketplaces, including but not limited to Amazon, eBay, Walmart, Target Plus, Etsy, drop-ship platforms, auction sites, or classified marketplaces such as Facebook Marketplace and Craigslist, is strictly prohibited.
Brand & Product Accuracy
Resellers must:
- Properly use all Kitchen Supply and Brand trademarks
- Sell products only in original, unaltered packaging
- Not duplicate, modify, or create alternative UPCs
- Not misrepresent product features, compatibility, origin, or brand affiliation
Online Marketing
- If a Reseller wishes to engage in paid digital advertising related to Kitchen Supply Brands, including Google Ads or similar platforms, the Reseller must request approved keywords from Kitchen Supply. This requirement exists to prevent direct competition with Kitchen Supply’s primary marketing efforts and to protect brand integrity.
End-User Sales Only
- Only distributors purchasing products directly from Kitchen Supply or an authorized Kitchen Supply distributor may resell products online under this Policy.
- Resellers may not sell Kitchen Supply products to other ecommerce resellers. Kitchen Supply recognizes that inadvertent reseller-to-reseller sales may occur. In such cases, the Reseller must promptly disclose transaction details, including buyer identity and transaction dates, so Kitchen Supply may enforce this Policy.
- Any seller offering Kitchen Supply products online that did not procure those products directly from Kitchen Supply or an authorized distributor is not authorized to sell the products or use Kitchen Supply trademarks, copyrights, images, or product information.
Export & International Restrictions
- Resellers must cooperate with Kitchen Supply in preventing unauthorized exportation. Products may not be advertised for sale or shipped outside the United States without prior written consent from Kitchen Supply. Resellers may not sell products to any third party that advertises or ships the products internationally without such consent.
Bulk Sales
- Products may not be sold in bulk. “Bulk” is defined as more than three (3) cases in a single transaction, or such other quantity as Kitchen Supply may designate in writing.
- Resellers must use reasonable efforts to identify suspicious purchasing behavior and promptly report such activity to Kitchen Supply.
Brand Confusion
- Resellers may not advertise, market, bundle, or sell non–Kitchen Supply products in any manner that implies the products are made by, endorsed by, affiliated with, or associated with Kitchen Supply or its Brands. Products must never be misbranded or represented as another brand.
- Seller Disclosure
- Resellers must maintain accurate and up-to-date company information and disclose all websites, seller names, storefronts, and online properties used to advertise or sell Kitchen Supply products. All ecommerce seller information must be reported to sales@kitchensupply.com.
Legal Compliance
Resellers must comply with all applicable laws and regulations, including but not limited to:
- Avoiding false or misleading claims or deceptive sales practices
- Compliance with CAN-SPAM and similar marketing laws
- Publishing and adhering to a privacy policy
- Using PCI-compliant payment processors and secure checkout systems
Enforcement
Failure to comply with this Policy may result in enforcement action at Kitchen Supply’s sole discretion, including:
- Loss of authorization to sell Kitchen Supply products online
- Suspension of shipments
- Account termination
- A limited sell-through period for existing inventory
Resellers may not circumvent this Policy through any means. Failure or delay by Kitchen Supply to enforce this Policy does not constitute a waiver of rights. Kitchen Supply reserves the right to modify this Policy at any time.
Authorized Seller Status
- Resellers that comply with this Policy are authorized to sell Kitchen Supply products through approved ecommerce channels. Authorization does not grant ownership rights to Kitchen Supply trademarks or intellectual property. All use is limited solely to the resale of Kitchen Supply products in compliance with this Policy.
